These Terms & Conditions govern the use of Virtual Office, Coworking spaces, Managed Offices, and allied business services provided by Heiley Office360 (“Heiley”, “Company”, “We”, “Us”). By using our services, the client (“Client”, “Member”, “User”, “You”) agrees to comply with the terms below.
Heiley provides Virtual Office addresses, Coworking spaces, Private Cabins, Managed Offices, and support services. All services are provided on a license-to-use basis only. Nothing contained herein shall be construed as creating a lease, tenancy, sub-tenancy, ownership right, or permanent possession in favor of the Client.
Virtual Office: Provided for a standard period of 11 months, unless otherwise specified. Renewable upon mutual consent and payment of applicable fees.
Coworking / Office Space: Provided on monthly, quarterly, or yearly plans as agreed. Certain plans may include a mandatory lock-in period.
All fees must be paid in advance as per the selected plan.
Invoices may be generated monthly or annually, depending on the service.
GST and applicable taxes shall be charged as per government regulations.
TDS, if applicable, must be deducted as per law and shared with proper documentation.
Delay in payment may result in service suspension or termination.
A refundable security deposit may be collected for physical workspace services. The deposit shall be refunded within 10 working days after termination, subject to the deduction of:
Outstanding dues
Damage or misuse of property
The deposit may be adjusted against the final billing cycle with mutual consent.
Depending on the selected plan, services may include:
Business address usage (Virtual Office)
Furnished desks, cabins, or offices
Electricity, water, Wi-Fi, housekeeping, and maintenance
Reception, client handling, courier, and postage handling
Conference/meeting room access (hour-based) and printing (limited pages)
Parking (limited; additional slots chargeable)
Note: Unused services or hours will not be carried forward unless explicitly mentioned.
Premises shall be used only for lawful business activities.
Illegal activities, cash-based unlawful transactions, or misuse of address/facilities are strictly prohibited.
Members must maintain professional conduct, hygiene, and decorum; disturbances or harassment are not permitted.
Clients obtaining GST registration, bank accounts, or licenses using Heiley’s address must inform the Company immediately. Heiley is not responsible for the Client’s statutory non-compliance or government penalties due to incorrect disclosures. The Client remains solely responsible for all filings.
Subletting, sharing, or transferring workspace or Virtual Office addresses to third parties is strictly prohibited without written consent. Violation may lead to immediate termination without refund.
Heiley or authorized authorities may conduct inspections as required by law. The Client agrees to cooperate during such processes.
Workspace access is subject to defined business hours. AC usage, meeting rooms, and parking are governed by internal policies. After-hours usage may attract additional charges.
Clients must keep premises and equipment in good condition. While normal wear and tear is acceptable, structural changes or modifications require written approval. Damage beyond reasonable use shall be chargeable.
If a location becomes unavailable, Heiley may offer an alternate workspace or provide a pro-rata adjustment/refund for the unused period.
Either party may terminate services with prior written notice. Immediate termination may occur for non-payment, illegal activity, or misuse of the address. Refunds depend on the selected plan and lock-in terms.
Heiley is not liable for business/data loss, reputational damage, theft of personal belongings, government delays, or Force Majeure events. Clients should arrange their own insurance.
The Client agrees to indemnify Heiley against legal claims, government penalties, or third-party disputes arising from their business operations.
Disputes shall be resolved through arbitration by a single arbitrator. The jurisdiction is Ernakulam, Kerala, governed by Indian laws.
Heiley reserves the right to modify these terms at any time. Updated terms are effective upon publication on the website.
By using Heiley’s services, the Client confirms acceptance of these Terms & Conditions.
